These terms and conditions ("Terms") govern your access to and use of the APISentry platform (the "Platform") owned and operated by WiredAssurance, Inc. ("WiredAssurance"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

Subject to these Terms, WiredAssurance grants you a non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes. This license does not permit you to:
a. Copy, modify, distribute, sell, or lease any part of the Platform;
You acknowledge and agree that WiredAssurance owns all right, title, and interest in and to the Platform, including all intellectual property rights. This includes but is not limited to copyrights, trademarks, trade secrets, and any other proprietary rights.
c. Use the Platform to develop a competing service; d. Access the Platform to build a similar or competitive product or service; e. Interfere with or disrupt the integrity or performance of the Platform or the data contained therein; f. Attempt to gain unauthorized access to the Platform or its related systems or networks; g. Use the Platform to transmit any viruses, malware, or other harmful code or files; h. Use the Platform to infringe upon any third party’s intellectual property or other rights.2. Fees and Payment Use of the Platform may require payment of fees. You agree to pay all fees and charges associated with your use of the Platform in a timely manner. Failure to pay fees may result in the suspension or termination of your access to the Platform. 3. Ownership You acknowledge and agree that WiredAssurance owns all right, title, and interest in and to the Platform, including all intellectual property rights. This includes but is not limited to copyrights, trademarks, trade secrets, and any other proprietary rights. 4. Prohibited Conduct You agree not to use the Platform for any illegal, fraudulent, or abusive purpose, or in any way that violates these Terms. Prohibited actions include but are not limited to: (a) Copying, modifying, distributing, selling, or leasing any part of the Platform; (b) Reverse engineering or attempting to extract the source code of the Platform; (c) Using the Platform to develop a competing service; (d) Accessing the Platform to build a similar or competitive product or service; (e) Interfering with or disrupting the integrity or performance of the Platform or the data contained therein; (f) Attempting to gain unauthorized access to the Platform or its related systems or networks; (g) Using the Platform to transmit any viruses, malware, or other harmful code or files; (h) Using the Platform to infringe upon any third party’s intellectual property or other rights.
5. Confidentiality You acknowledge and agree that the Platform contains confidential and proprietary information of WiredAssurance. This includes, but is not limited to, business processes, technical information, and any other non-public information related to the Platform. You agree to keep all such information confidential and to use it solely for the purposes of accessing and using the Platform in accordance with these Terms. 6. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIREDASSURANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE. IN NO EVENT SHALL WIREDASSURANCE’S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNTS PAID BY YOU TO WIREDASSURANCE DURING THE TWELVE-MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY. 7. Termination WiredAssurance may terminate these Terms and your access to the Platform at any time, with or without cause, in its sole discretion. Upon termination, your license to use the Platform ceases, and you must promptly cease all use of the Platform and return or destroy any confidential information.
You acknowledge and agree that the Platform contains confidential and proprietary information of WiredAssurance. This includes, but is not limited to, business processes, technical information, and any other non-public information related to the Platform. You agree to keep all such information confidential and to use it solely for the purposes of accessing and using the Platform in accordance with these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIREDASSURANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE. IN NO EVENT SHALL WIREDASSURANCE’S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNTS PAID BY YOU TO WIREDASSURANCE DURING THE TWELVE-MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY.
WiredAssurance may terminate these Terms and your access to the Platform at any time, with or without cause, in its sole discretion. Upon termination, your license to use the Platform ceases, and you must promptly cease all use of the Platform and return or destroy any confidential information.
These Terms shall be governed by and construed in accordance with the laws of the state of California, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the state of California.
These Terms constitute the entire agreement between you and WiredAssurance with respect to the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and WiredAssurance.
WiredAssurance reserves the right to modify these Terms at any time, in its sole discretion. Such modifications shall be effective immediately upon posting the modified Terms on the Platform. Your continued use of the Platform after such posting shall constitute your acceptance of the modified Terms.
